1. Acceptance of these terms

These Terms of Use ("Terms") govern your access to and use of AgendifyNow (the "App"), developed and operated by an independent developer ("we", "us"). By downloading, installing, or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.

2. The app

AgendifyNow lets you create, organize, and track personal agendas, categories, and reminders, including voice-powered capture and a calendar timeline view. The App works fully offline and does not require an account. Some features are available only to "AgendifyNow Pro" subscribers, currently including the Insights dashboard, home-screen widgets, and detailed streak history. We may add, change, or remove features (including which features require Pro) at any time.

3. Subscriptions & billing

AgendifyNow Pro is an auto-renewing subscription offered at $1.99 USD per month or $14.99 USD per year. Prices are shown, and may vary, in your local currency at the point of purchase in the App Store or Google Play listing; the amounts above are reference USD prices.

Payment is charged to your Apple ID or Google Play account at confirmation of purchase.
Your subscription automatically renews for the same period unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period, at the then-current price.
You can manage or cancel your subscription anytime in your device's subscription settings — on iOS via Settings → [your name] → Subscriptions, and on Android via the Google Play Store app → Menu → Subscriptions. Uninstalling the App does not cancel a subscription.
Refunds are handled by Apple or Google under their own refund policies; we do not process or issue refunds directly and have no ability to override their decisions.
We do not currently offer a free trial on new AgendifyNow Pro subscriptions. If we introduce one in the future, its terms (length and what happens at the end of it) will be disclosed at the point of purchase before you subscribe.
Users who already had AgendifyNow installed before AgendifyNow Pro launched may receive a limited-time complimentary period of Pro features, as described in the App at the time. This complimentary access is a promotional courtesy granted at our discretion, is tied to the device/local data it was granted on, and may be modified, shortened, or discontinued at any time without notice.

4. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use AgendifyNow on devices you own or control, for your own personal, non-commercial use. We reserve all rights not expressly granted to you.

5. Your content

Agendas, categories, and other content you create in AgendifyNow ("your content") remain yours. Because the App stores data locally on your device and does not currently offer cloud backup or sync, you are solely responsible for backing up your content (for example, via the app's export feature) before uninstalling the App, switching devices, or clearing app storage. We are not liable for any loss of your content.

6. Acceptable use

You agree not to:

Reverse-engineer, decompile, or attempt to circumvent the App's subscription/entitlement mechanism;
Use the App for any unlawful purpose;
Interfere with the App's operation or attempt to gain unauthorized access to any part of it.

7. Termination

You may stop using AgendifyNow at any time by uninstalling it (and separately canceling any active subscription as described above, since uninstalling alone does not cancel billing). We may suspend or terminate your access to the App if you violate these Terms.

8. Disclaimer & limitation of liability

The App is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, timely, secure, or error-free. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising from your use of the App.

9. Additional terms for App Store users (Apple)

If you downloaded AgendifyNow from the Apple App Store, the following additional terms apply and take precedence over any conflicting term above with respect to Apple:

These Terms are between you and us only, not with Apple Inc. ("Apple"), and Apple is not responsible for the App or its content.
Apple has no obligation to furnish any maintenance or support services for the App.
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, legal compliance claims, or claims that the App fails to conform to any legal or regulatory requirement.
Apple is not responsible for the investigation, defense, settlement, and discharge of any third-party claim that the App infringes that third party's intellectual property rights.
You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right to enforce these Terms against you as a third-party beneficiary.

10. Additional terms for Google Play users

If you downloaded AgendifyNow from Google Play, your purchase and use of the App are also subject to the Google Play Terms of Service. Nothing in these Terms limits any rights Google requires us to pass through to you as a condition of distributing the App on Google Play.

11. Governing law

These Terms are governed by the laws of the United States, without regard to conflict-of-laws principles, except where applicable consumer-protection law in your country of residence requires otherwise.

12. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by updating the effective date at the top of this page. Continued use of the App after a change becomes effective constitutes acceptance of the revised Terms.
